TERMS & CONDITIONS OF USE

Welcome to CheckPointBlack.com. CheckPointBlack.com (“CPB”) is a product of International Connector LLC (“IC” or “we” or “our”), which provides its services to you, a user of CPB and its related services (the “Services”), subject to the terms of this Agreement. If you visit CPB, or use any Services, you accept the terms of this Agreement. If you do not agree to these terms, you may not use CPB or the Services. From time to time, changes in law or in the IC business may require IC to update this Agreement. Please print and retain a copy of this Agreement for your records, as it may be changed from time to time. Your continued use of CPB and the Services constitutes your acceptance of such changes. Accordingly, you should review these terms from time to time for such changes. IC, in its sole discretion, may also add, delete or change some or all of the features of CPB or the Services at any time. This Agreement applies to all countries CPB services. The terms “you” and “your” as used herein refer to all individuals and/or entities accessing the Site for any reason.

AGE LIMITATION
IC does not permit children under the age of 13 to become members, post home pages or web sites or obtain chat rooms and e-mail accounts on our Services.

parental control protections (such as computer hardware, software, or filtering

PRIVACY
Like any Web-based community, the main purpose of CPB is to allow users to share information about themselves and their experiences. Therefore, all information and content that you post to your personal CPB profile (your “Profile”) or submit to CPB during your registration (other than your specific date of birth, home city and email address) (collectively, your “Public Content”) will be viewable by all other users of CPB. Your Public Content may include your age, location, travel preferences, photographs, and any other information contained in your Profile. You permit anyone to access, display, view, store and reproduce such Public Content for personal use. Subject to the foregoing, you retain any and all rights that may exist in your Public Content.

On the other hand, if you submit your name, email address, mailing address,
financial/billing information or other personally identifiable information (your “Private Content”) to IC through CPB, whether in connection with your registration with CPB, a purchase of CPB merchandise, a request for information or otherwise, IC shall keep such Private Content confidential and shall only disclose such Private Content as necessary to fulfill the purposes for which you submitted it to IC in the first place, or to prevent an emergency, protect or enforce our rights or the rights of a third party, or to satisfy the requirements of a court or governmental agency if required by law. Notwithstanding the foregoing, by posting any Private Content in any public are of CPB, including your Profile, such Private Content shall become Public Content, so if you do not want to publicize certain information do not post it in your Profile or in any other public area of CPB. You consent to IC using your Public Content and Private Content to build up a profile of interests, preferences and browsing patterns and to allow you to participate in the Service. If you are located outside of the United States, please note that the information that you provide is being sent to the United States. By becoming a member of the Service, you consent to your data being sent to the United States and to such other third parties and jurisdictions as may be involved in the provision and operation of the Service. If any of your contact information changes or is incorrect, please update your Profile on CPB with your new, correct information.

COOKIES
CPB may use cookies to enhance your experience while using CPB. Cookies are pieces of information that some web sites transfer to the computer that is browsing that web site and are used for record-keeping purposes at many web sites. Use of cookies makes web-surfing easier by performing certain functions such as saving your passwords and your personal preferences regarding your use of CPB. Many consider the use of cookies to be an industry standard. Your browser is probably set to accept cookies. However, if you would prefer not to receive cookies, you can alter the configuration of your browser to refuse cookies. If you choose to have your browser refuse cookies, it is possible that some areas of CPB will not function properly when you view them.

INFORMATION SECURITY
CPB has security measures in place to protect against the loss, misuse and alteration of the information under our control. However, it is not possible to guarantee the security or integrity of information you disclose online since a sufficiently powerful attack from an unauthorized third party could compromise your data.

CHOICE/OPT-OUT
IC may send communications to you regarding its services, CPB or otherwise. IC provides you the opportunity to opt-out of receiving such communications by
indicating your desire to opt-out:
• by updating your Profile page to indicate your desire not to receive such
communications, or
• by sending an email to

YOUR CONTENT
You represent and warrant to IC that your Public Content is posted by you and that you are the exclusive author of your Profile and your Public Content, and that your Public Content shall not infringe or violate the rights of any third party. By submitting any Public Content (including without limitation, your photograph, text, video, voice) to CPB, you hereby grant IC a perpetual, worldwide, non-exclusive, royalty-free license to use, collate, reproduce, display, perform, adapt, modify, publish, translate, market, distribute, create derivative works from, communicate to the public, perform and display the Public Content (in whole or in part), have distributed and promote such Public Content in any form, in all media now known or hereinafter created and
for any purpose. You also permit anyone to access, display, view, store and
reproduce such Content for personal (non-commercial) use. Subject to the
foregoing, you retain any and all rights that may exist in such Public Content. IC has no obligation to post your Public Content. In addition, we may, in our sole and unfettered discretion, remove or delete any Public Content that you post or submit. You are solely responsible for any Public Content that you submit, post or transmit via our Services.

If you believe that your Public Content, or any other information or content owned by you, has been used on CPB in a manner that constitutes copyright infringement, please provide IC’s Copyright Agent with a written notice (e-mail is sufficient) that includes the following information:
• an electronic or physical signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed;
• identification of the copyrighted work claimed to have been infringed;
• a description of where the material that you claim is infringing is located on CPB;
• your address, telephone number, and e-mail address;
• a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
• a statement by you, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

USE of cpb and our services

Acceptable Use Policy
Your continued use of CPB and the Services is expressly conditioned on your strict and complete compliance with the terms of this Agreement, including the following acceptable use policy. In connection with your use of CPB and the Services, you agree that in no event will you:
• impersonate, “stalk” or otherwise harass any person or entity;
• express or imply that any statements you make are endorsed by IC;
• use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or, in any way reproduce or circumvent the navigational structure or presentation of CPB or the Service or its contents;
• post, distribute or reproduce, in any way, any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the applicable owner;
• remove or alter any copyright, trademark or other proprietary rights notices contained in CPB or the Service;
• interfere with or disrupt any Service or any site, servers or networks connected to any Service;
• post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Service;
• ”frame" or "mirror" any part of CPB or the Service, without our specific prior written consent;
• use meta tags or code or other devices containing any reference to IC, CPB or the Service or the site connected to the Service in order to direct any person to any other web site for any purpose;
• modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Service (or any content appearing on CPB) or any software used on or for the Service or cause or enable others to do so;
• use the Service in violation of any applicable laws or regulations;
• engage in advertising to, or solicitation of, other CPB members to buy or sell any products or services through the Service;
• transmit any chain letters or junk email to other CPB members;
• post on the Service, or transmit to other CPB members or to IC or our employees, any defamatory, libelous, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity);
• include in your Profile any offensive anatomical or sexual references, or offensive sexually suggestive or connotative language, or post photos containing nudity or personal information; or
• use CPB or the Service for any commercial purpose.

Web Space Storage
If you become a CPB member, CPB provides you with free web space for your Profile, comprised of hypertext markup language (html) and associated files, intended solely for the audio/visual presentation of your travel-related Public Content on your Profile. This free web space is specifically not intended as a storage facility for your personal digital files, and using it as such is a violation of this Agreement. Also please note that pictures are only saved for the purposes of display on CPB and not for storage or other purposes. Members cannot assume that CPB will preserve the quality or resolution of any picture uploaded to CPB. CPB does not allow individual JPEG or GIF images larger than 500 KB to be uploaded to the Profiles.

Message Boards and Public Forums
Any chat rooms, bulletin boards and other communications forums on CPB will allow CPB users to post reviews of their travel experiences as well as other content and messages. If CPB provides such services, you expressly agree to use such services only to send messages and material that are appropriate and that are related to the topic of the particular forum. IC does not edit or control the information or materials posted to or distributed through any chat rooms, bulletin boards or other communications forums, and will not be in any way responsible or liable for such information or materials. IC nevertheless reserves the right for any reason in its sole discretion to remove without notice any contents of any such forum. By posting or distributing information or material through such forums, you expressly abandon any proprietary rights you may have in such information or material, and such information or material may be freely used, copied and distributed, in any medium and in any form, by IC and others without your permission. You agree not to post or distribute any information or material that is copyrighted by any third party without the express written consent of such party, and you agree to indemnify and hold harmless IC from any claim arising out of or relating to your violation of this provision.

Restrictions on Use of Materials
Other than materials submitted by you and other users of CPB, which materials remain the property of such users, all materials contained in CPB are the copyrighted property of IC, or its subsidiaries or affiliated companies and/or third party licensors (the “CPB Content”). No CPB Content may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, without IC’s express prior written consent. All trademarks, service marks, trade names and trade dress used in connection with CPB are proprietary to us. You may not frame or utilize framing techniques to enclose any of our trademarks, logos, or other proprietary information (including images, text, page layout, or form) without our prior express written consent. You may not use any meta tags or any other "hidden text" utilizing our name, trademarks or other proprietary information without our prior express written consent.

LINKS TO OTHER SITES
CPB site contains links to third-party web sites. The linked sites are not under the control of IC, and IC is not responsible for the contents of any linked site. IC provides these links as a convenience, and a link does not imply endorsement of, sponsorship of or affiliation with the linked site by IC. Linked sites are owned and operated by independent retailers or service providers, and therefore, IC cannot ensure that you will be satisfied with their products, services or business practices. You should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any of these third parties.

DISCLAIMERS
IC provides CPB and the Service on an “as is” basis and makes no warranties of any kind, expressed, implied, statutory or otherwise with respect to CPB, the Service, the content or information published on CPB (whether from other CPB users or by IC), or the content or information exchanged between CPB users. Your reliance on any of the foregoing information, content, products or services is entirely at your own risk. IC specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, and non-infringement regarding the Services, CPB or its content. Further, IC does not warrant that your use of CPB or the Services will be secure, uninterrupted, always available or error-free or that the Services will meet your requirements or that any defects in the Services will be corrected.

LIMITATION OF LIABILITY
Under no circumstances, including, but not limited to, negligence, shall IC be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of, or the inability to use, CPB or the Service, or the use, transmission, reproduction, modification or deletion of any materials, content or information made available or transmitted via CPB or the Services. You specifically acknowledge and agree that IC is not liable for any efamatory, offensive, or illegal conduct of any CPB user. If you are dissatisfied with any material on CPB or with the Service, or with any of IC's terms and conditions, your sole and exclusive remedy is to discontinue using CPB and the Service. In the event we are held liable for any damages related to such matters, your sole and exclusive remedy will be limited to reimbursement for services or products paid for by you, if any. You hereby waive any and all rights to bring any claim or action related to such matters in any forum beyond one (1) year after the first occurrence of the kind of act, event, condition or omission upon which
the claim or action is based.

INDEMNITY BY MEMBER
You will defend, indemnify, and hold IC and our officers, directors, employees, agents and third parties harmless, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of CPB or the Service, including: (a) your breach of this Agreement; (b) any allegation that any of your Public Content infringes or otherwise violates the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (c) your activities in connection with the Service. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.

TERMINATION
This Agreement is effective until terminated by either party. You may terminate this Agreement at any time by discontinuing use of CPB. Your access to CPB may be terminated immediately without notice from us if in our sole and absolute discretion you fail to comply with any term or provision of this Agreement. Upon termination, you must cease use of CPB.
